Please read these Terms of Service carefully before using Terraform Academy or subscribing to Terraform Academy Max. By accessing or using our services, you agree to be bound by these terms.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CoGen, LLC ("Company," "we," "us," or "our"), governing your access to and use of the Terraform Academy platform, Terraform Academy Max subscription service, and all related websites, applications, content, and services (collectively, the "Services").

By creating an account, accessing our Services, or completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not access or use our Services.

5. Subscription Services

5.1 Terraform Academy Max

Terraform Academy Max is a premium subscription service priced at $19.99 USD per month. The subscription includes:

New subscribers may be eligible for a free trial period. During the trial, you will have full access to Terraform Academy Max features. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription, and your payment method will be charged the applicable subscription fee.

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.

6. Billing and Payments

6.1 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"), our third-party payment processor. By providing payment information, you authorize us and Stripe to charge your payment method for the fees associated with your subscription. You agree to Stripe's Terms of Service.

6.2 Recurring Billing

Subscriptions are billed on a recurring monthly basis. Your payment method will be automatically charged on the same date each month as your initial subscription date, or the last day of the month if the original date does not exist in that month.

6.3 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will be communicated to you at least 30 days before taking effect. Continued use of the Services after a price change constitutes acceptance of the new pricing.

6.4 Taxes

Subscription fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your subscription, excluding taxes based on our net income.

6.5 Failed Payments

If a payment fails, we may retry the charge and/or suspend your access to premium features until payment is successfully processed. We are not responsible for any fees charged by your financial institution due to failed payment attempts.

"Terraform Academy," "Terraform Academy Max," the Terraform Academy logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CoGen, LLC. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

9.3 License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial educational purposes. This license does not include the right to:

All labs, quizzes, challenges, code samples, educational materials, and other content available through Terraform Academy and Terraform Academy Max are proprietary to CoGen, LLC. Unauthorized reproduction, distribution, or use of such content is strictly prohibited and may result in civil and criminal penalties.

9.5 Third-Party Trademarks and Brand Attributions

Terraform Academy is an independent educational platform and is not affiliated with, endorsed by, or sponsored by any of the companies whose products, certifications, or technologies are referenced in our educational content. All third-party trademarks, service marks, logos, and brand names referenced on the Services are the property of their respective owners. Reference to any products, services, processes, or other information by name, trademark, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by CoGen, LLC.

The following third-party trademarks and intellectual property are referenced solely for educational and descriptive purposes:

CoGen, LLC makes no claim to ownership of any third-party trademarks referenced herein. Where third-party logos or icons are displayed for educational context (such as identifying cloud providers or technologies covered in our curriculum), they are used in accordance with applicable trademark guidelines and solely to indicate the subject matter of educational content.

10. User Content

10.1 User Submissions

You may have the opportunity to submit, post, or transmit content through the Services, including profile information, game statistics, and communications with other users. You retain ownership of any intellectual property rights in your User Content.

10.2 License Grant

By submitting User Content, you grant CoGen, LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and providing the Services.

User Content must comply with all applicable laws and these Terms. We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

11. Third Party Services

Our Services integrate with and rely upon various third-party service providers to deliver functionality:

We use Stripe for payment processing. When you provide payment information, it is transmitted directly to Stripe's secure servers. We do not store complete credit card numbers on our systems. Your use of Stripe is subject to Stripe's Terms of Service and Privacy Policy.

11.2 Supabase

We use Supabase for database services and user authentication. Supabase provides secure, encrypted storage for user data and subscription information. Your use of our Services involves data processing through Supabase infrastructure.

11.3 Cloudflare

We use Cloudflare for content delivery, security, and performance optimization. Cloudflare helps protect our Services from malicious attacks and provides fast, reliable access to our platform globally.

11.4 OpenAI, LLC

We use OpenAI to power AI-assisted features on the platform, including TCv7 chat, AI Coach, provider release analysis, and IaC debug assistance. When you use an AI feature, your input is transmitted through our backend API to OpenAI's infrastructure for processing. Your use of AI features on this platform involves data processing by OpenAI subject to OpenAI's Privacy Policy and Usage Policies. You should not submit sensitive personal information, credentials, or confidential data through AI input fields.

11.5 Third Party Links

The Services may contain links to third-party websites or services that are not owned or controlled by CoGen, LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any such third-party websites or services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COGEN, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

19. AI Features & Responsible Use

19.1 AI-Powered Features

Terraform Academy provides AI-powered features including conversational AI assistants, AI coaching, provider analysis tools, and debugging assistance. These features are powered by third-party large language model (LLM) providers and are subject to our Responsible AI & Acceptable AI Use Policy ("AI Policy"), which is incorporated into these Terms by reference.

19.2 Acceptable AI Use

By using any AI feature on this platform, you agree to the AI Policy. You may not use AI features to generate harmful, illegal, or deceptive content; to circumvent safety controls; to violate the privacy of others; to create or distribute disinformation; or for any purpose prohibited under the AI Policy or the Acceptable Use Policy in Section 8 of these Terms.

19.3 AI Output Disclaimer

AI-generated outputs on this platform are produced by probabilistic machine learning models and may be inaccurate, incomplete, outdated, or inappropriate for your use case. AI outputs do not constitute professional advice of any kind. You are solely responsible for independently verifying any AI-generated technical content, including Terraform configurations, provider syntax, and infrastructure designs, before relying on them in any production or consequential context.

19.4 User Responsibility for AI Outputs

You and your end users are solely responsible for all decisions made, advice given, actions taken, and failures to take action based on AI-generated outputs. CoGen, LLC disclaims all liability for outcomes resulting from reliance on AI-generated content. AI features are not designed or appropriate for use in making consequential decisions affecting health, safety, legal rights, financial wellbeing, or other significant interests.

19.5 Data Submitted to AI Features

Any text you submit through an AI input field is transmitted to our backend API and to a third-party AI model provider for processing. Do not submit passwords, API keys, personal information about others, proprietary business data, or any information you would not want processed by a third-party AI provider.
